L.A. Startup Money Tracker
Every private raise a Los Angeles County company has reported to the Securities and Exchange Commission, newest first. A Form D is the short notice a company files when it raises money privately, without registering the sale; it reports how much was sold and to how many investors, but not who invested or at what valuation. Each row links to the filing.

What a Form D is
A Form D is the short notice a company files with the Securities and Exchange Commission when it raises money privately, without registering the sale. It reports how much was sold and to how many investors, but not who invested or at what valuation.
The SEC filings the record bots watch
A Form 8-K is the report a public company files within days of a major event. The record bots watch these kinds, by the number the form gives each:
- A major agreement (Item 1.01, “Entry into a Material Definitive Agreement”): where a company reports a significant contract it signed outside the ordinary course of its business.
- Bankruptcy (Item 1.03, “Bankruptcy or Receivership”): where a company reports a bankruptcy or receivership.
- A cyber incident (Item 1.05, “Material Cybersecurity Incidents”): where a company reports a cybersecurity incident it has determined to be material.
- A deal completed (Item 2.01, “Completion of Acquisition or Disposition of Assets”): where a company reports that it has completed buying or selling a significant amount of assets.
- Restructuring (Item 2.05, “Costs Associated with Exit or Disposal Activities”): where a company reports a commitment to a plan, such as layoffs or closures, that will bring material charges.
- A listing notice (Item 3.01, “Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing”): where a company reports a delisting notice, a failure to meet a listing rule, or a transfer of its listing.
- Officers & directors (Item 5.02, “Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers”): where a company reports directors or certain officers leaving, joining or being elected, or changes to their pay.
How this list works
The record bots read EDGAR’s full-text search through each business day for Form D filings by companies whose business address is in Los Angeles County, by ZIP code. Investment funds, special-purpose vehicles and real-estate partnerships file the same form; they are left out, and so are amendments and offerings with less than $10,000 sold. Raises of $1 million or more get a short story of their own, linked on their row.
